MaterialWise Terms of Service

This Subscription Services Agreement (together with any Order Form signed by MaterialWise and the Customer, the “Agreement”) is an agreement between the company or other legal entity that has executed an Order Form (the “Customer”) and MaterialWise (“MaterialWise”, “we”, “us”, or “our”). By (i) executing an Order Form that references this Agreement; (ii) accessing or using the Services (as defined below), including the use of free Services; or (iii) clicking a box indicating acceptance, Customer agrees to the terms and conditions in this Agreement.


1. Definitions

  • “Acceptable Use Policy”: The policy governing the permissible use of the Platform, as updated from time to time.

  • “Customer Data”: Any data, information, content, records, or files uploaded, transmitted, or entered into the Platform by the Customer or its Users.

  • “Fees”: The fees payable by the Customer for the Services, as set out in the Order Form.

  • “Order Form”: The document signed by the Customer and MaterialWise specifying the number of active projects, Fees, and other terms.

  • “Platform”: The MaterialWise software, including its mobile and web applications, used for material management.

  • “Services”: The Platform and any related services provided by MaterialWise.

  • “Users”: Individuals authorized by the Customer to access and use the Platform.


2. Use of the Platform and Services

2.1 Access and Use

Subject to compliance with this Agreement and payment of Fees, MaterialWise grants the Customer a non-exclusive, non-transferable license to access and use the Platform during the Subscription Term.

2.2 Core Features

The Platform includes the following features:

  • Purchase request submission via mobile or laptop.

  • Approval and conversion of purchase requests to purchase orders.

  • Automated emailing of purchase orders to vendors.

  • Material receipt and tracking via mobile app.

  • Material movement between sites and warehouses.

  • Photo capture for material state during receipt.

  • Cash request and expense tracking.

  • Daily wager attendance tracking.

2.3 User Responsibilities

  • Users must not use the Platform for illegal or prohibited activities.

  • Users must not share accounts or credentials.

  • Users are responsible for maintaining the confidentiality of their accounts.


3. Subscription and Fees

3.1 Subscription Plans

MaterialWise offers subscription plans based on the number of active projects. Fees are payable annually or bi-annually, with discounts for annual commitments.

3.2 Free Trial

MaterialWise offers a one-month free trial. No refunds are provided after the trial period.

3.3 Payment Terms

Fees are non-refundable and payable in advance. Failure to pay may result in suspension of Services.


4. Data and Privacy

4.1 Data Ownership

MaterialWise owns all data uploaded to the Platform, except for Users’ personal data.

4.2 Data Usage

MaterialWise may use Customer Data to:

  • Improve the Platform.

  • Conduct analytics and benchmarking.

  • For marketing, research, and product improvement purposes.

4.3 Data Retention

Customer Data will be retained for up to two years after account termination.


5. Intellectual Property

5.1 Ownership

MaterialWise owns all intellectual property rights in the Platform and its content.

5.2 License to Use

Customers grant MaterialWise a royalty-free, worldwide license to use their content for marketing, research, and product improvement purposes.


6. Liability and Indemnification

6.1 Limitation of Liability

MaterialWise’s total liability shall not exceed the annual Fees paid by the Customer.

6.2 Indemnification

The Customer agrees to indemnify MaterialWise for any claims arising from their use of the Platform.


7. Termination

7.1 User Termination

Customers may terminate their subscription by providing written notice.

7.2 MaterialWise Termination

MaterialWise may terminate the Agreement for breach, non-payment, or violation of the Acceptable Use Policy.

7.3 Data Export

Upon termination, Customers may request an export of their data in a standard format.


8. Governing Law and Dispute Resolution

8.1 Governing Law

This Agreement is governed by the laws of Bangalore, India.

8.2 Dispute Resolution

Disputes shall be resolved through arbitration in accordance with the rules of the [Insert Arbitration Body].


9. Updates to Terms

MaterialWise may update this Agreement by providing notice to Customers. Continued use of the Platform constitutes acceptance of the updated terms.


10. Miscellaneous

  • Force Majeure: MaterialWise is not liable for delays caused by events beyond its control.

  • Entire Agreement: This Agreement constitutes the entire agreement between the Parties.

  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
